Charter
ARTICLE I-NAME-
The name of this organization shall be Sussex Cyclists, Inc. The address shall
be PO Box 204, Rehoboth Beach, DE 19971.
ARTICLE II - PURPOSE -
The purpose of this organization is to promote safe cycling and cycling safety
awareness in Sussex County Delaware. Sussex Cyclists, Inc. conducts safety and
educational seminars and safety stops along our major roadways for residents
and visitors to our region. We advocate the use of bicycles as an alternative
means of transportation as well as for recreation and encourage the use of helmets,
lights and other safety equipment by distributing them to cyclists. We
cooperate with the authorities in the observance of all traffic regulations
and promote bicycle safety laws. The organization shall be conducted as a
charitable organization within the meaning and provisions of 501(C)3 of the
Internal Revenue Code and Provisions promulgated there under.
ARTICLE III - GOVERNMENT -
The organization shall be governed by a Board of Directors, all of whom
shall be elected and serve without compensation. This board shall consist of:
1) President
2) Vice President
3) Treasurer
4) Secretary
5) Ride Leader
6) Past President
The Board of Directors shall govern, adopt and amend by laws by a majority vote
with a quorum present. The quorum shall consist of greater than one-half of the
members there of. In the event of resignation, prolonged absence, or disability
of an elected member, the Board of Directors may appoint a replacement to serve
until the next annual election. Officers shall serve for one year beginning
with the date of election. The duties shall include but not be limited to the
following.
1) President- The president presides at all meetings acts as chairman
of the Board of Directors and is responsible for the administration of all club
business. He/She is Ex/Officio member of all committees.
2) Vice-President - The vice President presides at meetings in the absence of
the President and assists the President in his/her duties.
3) Treasurer - The Treasurer collects dues and fees, prepares records of all
receipts and expenditures, and is responsible for all the clubs financial
transactions. He/She shall render to the Board of Directors at its meetings,
or whenever they may require it, an account of his transactions as treasurer
and of the financial condition of the club. He/She keeps a roster of all club
members. He/She is also responsible for filing all required government reports
and disbursements of funds shall be approved by the Treasurer and another officer.
4) Secretary - The Secretary notifies the membership of meeting dates and rides,
handles all mailings and records the minutes of all meetings.
5) Ride Leader —The Ride Leader plans and leads rides scheduled by the club
membership. He/She places advance notice of the scheduled rides in the local
newspapers. The Ride Leader shall obtain signatures of all ride participants on
the Sussex Cyclists Liability Waiver before each scheduled ride. All ride
participants shall be under the direction of the ride leader and existing
traffic laws. When needed the Ride Leader may appoint an assistant Ride Leader
to act in his/her absence or assist him/her.
6) Past President—The past president is responsible for increasing membership
and maintaining the charter.
ARTICLE IV - ELECTIONS –
Election of officers shall be held annually by a quorum of the membership at an
election meeting on a date set by the Board of Directors. A quorum necessary to
conduct business shall be either 12 members or twenty five percent of the membership
whichever is the less requirements of general membership and conditions thereof
shall be determined by the Board of Directors. Election of officers shall be for
the term of one year and shall be by secret ballot, majority vote, from
nominations put forth at the meeting previous to the general election.
ARTICLE V - DUES -
Annual dues:
Individual $10.00
The membership begins January 1 and ends the last day of
December. The fiscal year shall coincide with the calendar year.
ARTICLE VI - MEMBERSHIP -
The minimum individual membership age shall be 18 years. All ride
participants including members must sign a specified liability
release form before each scheduled ride.
ARTICLE VII - MEETINGS -
The first club meeting of each year shall be held during the first
week of February for the purpose of election of officers and preparation
of a ride schedule for that year. Subsequent meetings may be called when
necessary at the discretion of the Board of Directors. When additional
meetings are required club membership shall be advised
by electronic or written notice and the notice shall be distributed
at least seven (7) calendar days prior to the date of the meeting.
ARTICLE VIII - SCHEDULED CLUB RIDES -
The ride leader will be in charge of all scheduled rides. He/She
will review the route for the scheduled ride in advance to assure
suitability of road conditions. The scheduled club rides shall be
chosen and approved by the membership at the first meeting of the
year in the first week of February. A club liability waiver form
shall be signed by all scheduled club ride participants immediately
prior to each ride. The ride leader is responsible for obtaining
these signatures on the required liability waiver. The Ride Leader
shall also advise the scheduled club riders of any particular known
road hazards to be encountered on the trip prior to starting on the
ride.
ARTICLE IX - AMENDMENTS -
Amendments to this constitution may be proposed by any member at any
regular meeting and may be incorporated at the next regular meeting
by two-thirds written vote of the entire membership, whether or not
present at the meeting.
ARTICLE X - PROVISION FOR DISSOLUTION -
In the event of club dissolution, the Treasurer with the approval of
the Board of Directors shall after all club financial obligations
have been satisfied, donate any remaining club funds to the 501c3 organization
