Executive Annual Incentive Plan

Year 1

The Board of Directors has approved an annual incentive plan for the operating executives of the Company. An incentive pool will be created equivalent to $5,000 per executive for each one-half point increase in the stock price from the opening to the closing price for the year. At the end of the year, the operating executives may determine the amount of the incentive pool to be paid each executive. This determination should be made on the basis of each executive's contribution to the Company's performance. The following factors have been approved for rating the performance of each participating executive.
