EANES ORCHESTRA PARENTS ASSOCIATION
A NONPROFIT ASSOCIATION


ARTICLE I - Name of Association

The organization shall be a nonprofit body, in the State of Texas, with the name Eanes Orchestra Parents Association, Inc. hereinafter called the Association.


ARTICLE II- Purpose

The Association shall be organized and operated to support and enhance the orchestra and music program of the Eanes Independent School District, Austin, Travis County, Texas, through motivational activities, fund raising events, and the communication of musical opportunities and experiences, and through such other nonprofit activities as its members may determine appropriate.


ARTICLE III- Duration

The duration of the Association's existence shall be perpetual.


ARTICLE IV - Membership

Membership, as a voting member, shall be available to any parent or guardian of an active orchestra student or to any friend, as a nonvoting member, of any member of the orchestra program of the Eanes Independent School District. All ex-orchestra parents are automatically honorary members. Honorary membership, as a voting or nonvoting member, may be bestowed at the discretion of the Board of Directors.


ARTICLE V - Meetings of Members

Section 1. Annual Meetings. The regular annual meeting of the members of the Association shall be held in conjunction with a Spring event.

Section 2. Special Meetings. The President or, in his/her absence, a Vice President may call special meetings of the general membership. Meetings must be called by him/she upon written request of a majority of the board or twenty (20) or more members.

Section 3. Quorum. Fifteen (15) members shall constitute a quorum at any meeting of the general membership and all matters shall be decided by a majority of the members present.

Section 4. Place of Meetings. All meetings of the general membership shall be held at Westlake High School, unless otherwise designated.

Section 5. Notice of Meetings. No notice of the annual meeting shall be necessary. The Secretary, upon direction of the President or a Vice President, shall provide notice of any special meeting at least two days (2) previously thereto, personally, through the school orchestra teachers or by mail.

Section 6. Date of Meetings. Meeting dates will be selected with concern being given so as not to conflict with orchestra programs previously scheduled.


ARTICLE VI- Board of Directors

Section 1. Number and Term of Office. The Board of Directors shall manage the business and affairs of the Association and shall be eleven (11) in number and shall be composed of the President, Vice President- Westlake High School Varsity Class and Westlake High School Freshman Class as long as the school has determined the need for more than one class. A Vice President - Hill Country Middle School, Vice President- Westridge Middle School and any other senior or middle school that may be added to the district and a member at large to represent the districts elementary schools. Other members will include a Treasurer, Secretary, Immediate Past President and the Orchestra Directors from each school. Ex officio members shall be a Booster Club Representative for Wesfiake High School and Chairperson(s) for special events sponsored by the organization and appointed by the President. Each Director, except the Orchestra Directors, shall be elected at the annual meeting and shall serve from the date of their election to the next annual meeting. Upon the occurrence of a vacancy in the membership of the Board, the vacancy shall be filled by the affirmative vote of the majority of the remaining Directors, and the person, thereafter elected, shall serve out the unexpired term of the Director who shall have ceased to function.

Section 2. Election of the Board of Directors. The Board of Directors shall be elected annually at the annual meeting of the general membership. The Immediate Past President shall serve as the Nominating Committee Chairman. The nominating committee shall consist of the Nominating Committee Chairman, one Vice- President, and a Member-at-Large appointed by the President. Election of the Board shall be a simple majority of the general membership present and voting.

Section 3. Meetings. Meetings of the Board of Directors may be held at any time or place upon call by the president or, in his absence, a Vice President, or upon call of two members of the Board of Directors. Notice of the meeting may be given by telephone or in writing. All Board meetings will be open to the general membership.

Section 4. Quorum. A quorum of the Board of Directors shall consist of the majority of the members thereof.

Section 5. Construction. The Board of Directors shall determine the interpretation to be placed on these Bylaws or any part or parts thereof which may be in conflict or of doubtful meaning.


ARTICLE VII- Officers

Section 1. Officers. The officers of the Association shall be a President, two Vice Presidents from the High School, a Vice President from each campus with an orchestra program, a Secretary and a Treasurer. No two offices may be held by the same person. Each of the officers shall be elected by the general membership, and each officer shall be a member of the Board of Directors.

Section 2. Election and Term of Office. The officers of the Association shall be elected annually at the annual meeting of the general membership. Each officer shall hold office until his successor shall be duly elected. No one shall serve more than two (2) terms in succession in any one office. The President may not be the parent of a high school Senior.

Section 3. Vacancy of Office. A vacancy in any office may be filled by the board of Board of Directors for the unexpired portion of the term.

Section 4. Duties of Officers.
a.        President. The President shall act to coordinate parent and pupil extracurricular orchestra activities with the Orchestra Directors for the purpose of planning and achieving those objectives which, in the opinion of the Orchestra Directors, the President, and the Principal of the campus the activity effects, are commensurate with the Eanes Independent School District policies and designated for the development and improvement of the Eanes Independent School District orchestra program. The President shall preside at all meetings of the general membership and meetings of the Board and shall be Chairman of the Board of Directors. The President may appoint committees and the chairman thereof; supervise the activities of all committees and other officers; require the necessary reports and financial accounting of committees and projects undertaken; represent the association with the Eanes School Board or Administration if required; and may sign checks in the absence of the Treasurer.

b.        Vice Presidents. The Vice Presidents will represent the school from which their orchestra student attends and assist the President by coordinating and supervising all special fund raising projects; any one of which may preside over meetings in the absence of the President; and perform other duties as delegated by the President.

c.        Secretary. The Secretary shall keep the minutes of the meetings of the general membership and of the Board of Directors; see that all notices are duly given in accordance with the provisions of these bylaws; establish a current membership list; be the custodian of those records usually associated with secretarial responsibilities; coordinate newsletter/ newspaper activities; handle correspondence for the Association; and perform such other duties as may be assigned by the President.

d.        Treasurer. The Treasurer shall be charged with custody of and be responsible for all funds of the Association; receive and give receipts for monies due and payable from any source; keep accurate bookkeeping records of all receipts and disbursements; issue checks in payment of debts of the Association, provide monthly financial statements for the Board of Directors, to be presented at meetings of the general membership and the Board of Directors; file all required tax reports to the State of Texas and the Eanes Independent School District, provide end-of-year financial statements for all required entities; and in general, perform all duties incidental to the office of the Treasurer and other duties as may be assigned by the President.


ARTICLE VIII- Standing Committees

Section 1. Appointment by the President. The President shall appoint, as deemed necessary and appropriate by the Board of Directors of this Association, the chairmen of all committees, for the term of one (1) year or until their successors are appointed.

Section 2. Duties of Chairmen. The chairman of each committee shall direct and keep a record of the activities and accomplishments of such committee and shall serve as an ex-officio member of the Board of Directors of this Association.


ARTICLE IX - Fiscal Policies

Section 1. Fiscal Year. The fiscal year of the Association shall be from January 1 to December 31.

Section 2. Power to Commit Funds. Disbursement of funds exceeding $100.00 shall be approved by the Board of Directors and noted in the meeting minutes.


ARTICLE X - Amendments and Parliamentary Procedures

Section 1. Amendments of Bylaws. The Bylaws, or any part thereot may be amended, modified or repealed at any regular or special meeting of the general membership, at which there is a quorum, by a majority vote of those present.

Section 2. Parliamentary Authority. Robert's Rules of Order, Newly Revised, shall be the authority in all questions of parliamentary procedure not governed by the Bylaws.


ARTICLE XI - Dissolution

It is further provided that if at the time of dissolution of the Association it still has on hand, after the payment or making provision for the payment of all the liabilities of the Association, any funds, property, or other assets, such funds, property or assets shall be paid over and delivered to the Board of Trustees of Eanes Independent School District along with any records the district may request.
