My name is Donald Shuper. I am a Boeing retiree [1995], and I submitted a shareholder proposal [November 14 by FAX ] for the Boeing 2002 Annual meeting. The basic proposal is essentially identical to my proposal that last year received 8.7 percent of the votes.


Welcome to my site. The purpose of this site is to provide an easily available place to find the information and data supporting my shareholder proposal for the 2002 Boeing Annual meeting, and to make available to the public the behind the scenes documentation as the company attempts to prevent my proposal from being included on the proxy. I'll show here pertinent extracts as required to support my statements, and where available links to the documents or sites that have the complete document. I'll have a few documents that can be downloaded as .pdf files. Some documents will be OCR versions of what I have.


If Boeing continues its normal practice of waiting till the last minute to respond, it will be the last week in December [Actually the sent it on the 19th of December this year ] before I get a copy of a letter to the SEC from Boeing legal, asking the SEC to allow them to omit because:
1) Ordinary business [ not likely this year- they lost that argument last year ] [They did NOT make that claim this year ]
2) Materially False and Misleading - very common complaint. [ YEP - that is almost exactly what they complained about ]

The SEC rules as to times, dates, and information Boeing must provide are quite firm. I do not expect to know until mid February if my proposal must be included, or if Boeing gets a " no- action" letter allowing them to omit, or requiring me to make changes. Received SEC ' ruling" on 14 Feb - responded on the 15th. See Item K. My appeal to SEC 15 Feb 2002
